Company Registration

Good day,
I am looking for advice on the following matter please.

A friend of my who resides in the Netherlands works as a Commercial Manager at a manufacturing company there.  

He is in the process of negotiating with a SA company to manufacture the product under their label in SA.  What he then wants to do is register a new company in SA to buy the finished product from the SA manufacturing company but under his own company not the company in the Netherlands, and then sell locally as well as internationally.  The company he wants to register will have 3 shareholders, of which i will be one.

How can we go about the process of registering without the company in the Netherlands knowing he's a part owner of our company in SA and surely that's legal?  What way would also have less tax implications for our company in SA?
